The average tenure for a public company CEO in the US is 4.2 years. How do you create an incentive to make him do what is best for the company over the next decade when he will be long gone before the benefit arrives? Remuneration committees try to tailor the incentives to suit the CEO’s tenure, rather than addressing the real issue which is that short tenures are the problem. One way to do it may be for bonuses to be pegged against long-term targets and for remuneration to be deferred beyond the tenure of the CEO. That introduces new problems. For me, I tend to avoid companies that have a revolving door of C-suite executives. That’s the red flag.
